Public offer agreement

Welcome to the World of NÖMU

This document constitutes a public offer (hereinafter referred to as the "Offer") addressed to individuals and legal entities (hereinafter referred to as the "Buyer") and contains all essential terms for the purchase of goods offered by NÖMU (hereinafter referred to as the "Seller"). The Offer is governed by the legislation of the European Union (including Directive 2011/83/EU on Consumer Rights) and the applicable laws of the Buyer’s country. Acceptance of the Offer (agreement to its terms) signifies the conclusion of a sales contract between the Buyer and the Seller under the terms outlined below.

1. General Provisions

1.1. The Seller is a registered European company providing services for the production and sale of custom-made sofas under the NÖMU brand. Payments are processed through another European company with which we have an agreement ensuring compliance with GDPR and PCI DSS requirements.
1.2. The Offer is published on the website [www.nomu.design] and constitutes a public offer in accordance with the laws of the European Union.
1.3. Acceptance of the Offer is carried out by the Buyer through the actions specified in Section 2 of this Offer.

2. Acceptance of the Offer

2.1. Acceptance of the Offer is performed by:

  • Placing an order on the website [www.nomu.design].
  • Making payment for the order using any of the specified methods (see Section 4).
  • Signing an invoice issued by a manager or transferring funds to the Seller’s bank details.
    2.2. Upon acceptance, a sales contract is formed between the Buyer and the Seller under the terms of this Offer.

3. Subject of the Agreement

3.1. The Seller undertakes to manufacture and deliver to the Buyer a custom-made sofa in accordance with the selected configuration (including covers, color, and dimensions), and the Buyer undertakes to accept the goods and pay their cost.
3.2. The specifications of the goods are listed on the website [www.nomu.design] and are confirmed with the Buyer at the time of ordering.

4. Payment Terms

4.1. The Buyer may pay for the goods using the following methods:

  • Via payment systems Stripe and PayPal using credit/debit cards (Visa, Mastercard), Apple Pay, or Google Pay.
  • Through an invoice issued by a manager after consultation with the Buyer.
  • By bank transfer to the bank details of a European company provided by the Seller.
    4.2. Full payment must be made within 5 business days from the moment of Offer acceptance, unless otherwise agreed with the manager.
    4.3. All prices are indicated on the website [www.nomu.design] and include the cost of the goods but exclude delivery costs, which are calculated separately (see Section 5).
    4.4. The Seller reserves the right to suspend order fulfillment if payment is not made in a timely manner.

5. Delivery Terms

5.1. The Seller delivers goods to over 80 countries worldwide through trusted carriers.
5.2. Delivery timelines:

  • Across Europe: 7 to 30 days.
  • Worldwide: 20 to 60 days.
    Exact timelines are clarified at the time of ordering.
    5.3. Delivery costs are paid separately by the Buyer and are calculated based on the carrier’s rates. A preliminary estimate is provided at the time of ordering, with the final cost confirmed after packaging.
    5.4. The risk of accidental loss or damage to the goods passes to the Buyer upon transfer of the goods to the carrier.

6. Return and Exchange Terms

6.1. Due to the custom-made nature of the goods (made to order), returns or exchanges are only possible in the event of a manufacturing defect confirmed by the Seller within 7 days of receiving the goods.
6.2. If a defect is confirmed, the Seller will replace the defective parts or repair the goods at its own expense.
6.3. Refunds for goods that do not match the specified characteristics due to the Seller’s error will be processed within 14 days of defect confirmation.
6.4. The Buyer bears the cost of return shipping if the return is not due to the Seller’s error (in accordance with Directive 2011/83/EU).

7. Warranty and Liability

7.1. The Seller provides a warranty on the goods in accordance with the legislation of the Buyer’s country (e.g., 2 years in the EU under Directive 1999/44/EC).
7.2. The Seller is not liable for damage caused by improper use or external factors (e.g., exposure to moisture).
7.3. The Buyer must inspect the goods upon receipt and report any defects within 7 days.

8. Liability of the Parties

8.1. The Seller is not liable for delivery delays caused by carriers or force majeure events (fires, floods, wars, etc.).
8.2. The Buyer is responsible for providing accurate delivery details. In case of errors, the Buyer bears additional redirection costs.

9. Validity of the Offer

9.1. The Offer remains valid until withdrawn by the Seller, with notification provided on the website [www.nomu.design].
9.2. Withdrawal of the Offer does not affect obligations for already accepted orders.

10. Miscellaneous

10.1. All disputes will be resolved in accordance with the legislation of the Seller’s country of registration (European jurisdiction), taking into account the laws of the Buyer’s country.
10.2. The Seller reserves the right to amend the Offer, with notification to Buyers via the website [www.nomu.design].
10.3. The Offer is drafted in English, and in case of discrepancies with translations, the English text prevails.

Acceptance of the Offer

This Offer is deemed accepted by the Buyer upon performing the actions specified in Section 2. Acceptance of the Offer signifies full and unconditional agreement with its terms.
